By accessing and using our SaaS products and services, you accept and agree to be bound by these terms. If you do not agree to these terms, please do not use our services.

These terms apply to all our products including Minz, CommentGuard AI, and future SaaS offerings.

Apex Ridge Ventures LLC provides Software-as-a-Service (SaaS) products:

Minz

• Dynamic QR code generation and management
• Book publisher tools and analytics
• Reader engagement tracking

CommentGuard AI

• AI-powered YouTube comment moderation
• Automated content filtering and management
• YouTube API integration services

General Services

• API access and integration support
• Customer support and documentation
• Data analytics and reporting

To use our services, you must:

• Be at least 18 years old or have legal capacity to enter contracts
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Comply with all applicable laws and regulations

We reserve the right to refuse service or terminate accounts that violate these terms.

Subject to these terms, we grant you a limited, non-exclusive, non-transferable license to:

• Access and use our SaaS products for your business purposes
• Integrate with our APIs according to documentation
• Generate and manage content through our platforms

Usage Restrictions

• Do not reverse engineer, decompile, or attempt to extract source code
• Do not resell, redistribute, or sublicense our services
• Do not use our services for illegal or unauthorized purposes
• Do not attempt to circumvent usage limits or access restrictions
• Do not interfere with or disrupt our services

Payment Terms

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are quoted and payable in US Dollars
• Payment is due upon receipt of invoice
• Late payments may incur additional charges

Price Changes

• We may change pricing with 30 days advance notice
• Price changes will not affect your current billing cycle
• You may cancel before price changes take effect

Usage-Based Billing

Some features may be billed based on usage (API calls, QR scans, etc.). Usage limits and overage fees are specified in your plan details.

Your Content

You retain ownership of content you upload or create using our services. By using our services, you grant us a license to:

• Process and store your content to provide services
• Generate analytics and insights for your use
• Backup and secure your data

Content Responsibilities

• You are responsible for all content you upload or process
• Content must comply with applicable laws and platform policies
• You must have rights to use any third-party content
• Prohibited content includes illegal, harmful, or infringing material

Content Moderation

We may review, moderate, or remove content that violates these terms or applicable laws, particularly for CommentGuard AI moderation services.

Service Level

• We strive for 99.9% uptime but do not guarantee uninterrupted service
• Planned maintenance will be announced in advance when possible
• Service may be temporarily unavailable for updates or repairs

Support

• Customer support is provided via email and in-app channels
• Response times vary by plan level
• Documentation and resources are available online

API Terms

• API usage is subject to rate limits and quotas
• You must use current API versions and follow deprecation schedules
• API keys must be kept secure and not shared
• Excessive usage may result in throttling or additional charges

Third-Party Integrations

Our services integrate with third-party platforms (YouTube, etc.). Your use of these integrations is subject to the respective third-party terms and policies.

Our IP Rights

• We own all rights to our software, technology, and services
• Our trademarks and logos may not be used without permission
• All improvements and derivative works remain our property

Feedback

If you provide feedback or suggestions about our services, we may use such feedback without obligation or compensation to you.

Termination by You

• You may cancel your subscription at any time
• Cancellation takes effect at the end of your current billing period
• No refunds for partial months unless specified in our refund policy

Termination by Us

We may suspend or terminate your account for:

• Violation of these terms
• Non-payment of fees
• Illegal or harmful use of our services
• Prolonged inactivity

Effect of Termination

• Your access to services will be discontinued
• Your data may be deleted according to our data retention policy
• You may export your data before termination if technically feasible

Service Disclaimers

Our services are provided "as is" without warranties of any kind. We disclaim all warranties including:

• Merchantability and fitness for a particular purpose
• Uninterrupted or error-free operation
• Accuracy of results or data
• Security against unauthorized access

Limitation of Liability

To the maximum extent permitted by law, our liability is limited to the amount you paid for services in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

These terms are governed by the laws of the United States and the state of [Your State], without regard to conflict of law principles.
